Terms and Conditions
1. Identity of the Firm
The firm "Conexus International" is a consulting office that brings together experts and freelance international consultants whose objective is to provide consultancy services in international affairs in the broadest sense. The collaborators/associates/experts are natural persons and limited liability companies.

2. Purpose, Nature and Performance of the Agreement
These general terms and conditions govern all services provided by Conexus International to its clients. They apply to all advisory, support and project facilitation assignments related to business internationalization, partner search, commercial strategy, and international business establishment.
Conexus International provides intellectual services: specialized advice in various areas of expertise such as export, legal, compliance, product validation and registration, international negotiation, sustainable development, business internationalization, international subcontracting, assistance and representation (non-exhaustive list). These services are provided exclusively for the benefit of the client and cannot confer any rights to third parties.
Conexus International has a network of over 150 experts and is authorized to call upon these experts for the execution of certain assignments, which enables it to formulate proposals to the client.
The client accepts that Conexus International may call upon other experts for specific assignments (in Belgium or abroad).
The client also accepts that Conexus International may, where necessary, call upon the services of translators, lawyers, notaries, technical experts, accountants, etc. to execute the assigned assignment.
The firm selects the third parties it calls upon to carry out all or part of the assignment with the utmost care. However, Conexus International disclaims all responsibility for any failings of these third parties.
In the aforementioned cases, the choice of third party may be made in consultation with the client. The client is aware that these third parties may make their services conditional on the prior payment of advances or provisions. Conexus International disclaims all responsibility in this regard (delays, deadlines, etc.).
Conexus International regularly informs the client of the execution of the assignment and the progress of the file processing, at least upon first request. The client must provide Conexus International, as promptly as possible, with all useful information throughout the duration of the assignment.
3. Obligation of Means and Liability
All contracts are concluded exclusively with Conexus International.
The agreement contains an obligation of means on the part of Conexus International and the consulting office will take all necessary measures to apply the usual professional standards.
Conexus International cannot be held responsible for errors made by third parties consulted directly.
Legal provisions relating to non-contractual liability do not apply, to the extent permitted by law, either between the client and the firm, or between the client and an expert of the firm.
The firm disclaims all liability in case of error resulting from poorly formulated instructions or from a file and/or data provided late, incomplete or incorrect by the client. The client undertakes to provide a complete and reliable file within the specified deadlines.
4. Commitments of Conexus International
Conexus International undertakes to provide its services in a professional manner, in accordance with quality, ethics and confidentiality standards. All services are carried out in compliance with applicable laws and ethical principles, thus ensuring transparency, integrity and diligence in the context of each assignment.
The information and documents provided by the client are treated confidentially, in accordance with legal requirements and professional best practices.
5. Client Commitments
The client undertakes to provide all information necessary for the execution of the assignment in a complete and accurate manner. The client is responsible for the truthfulness of the information communicated. In case of false declaration or omission, Conexus International reserves the right to suspend or interrupt services without notice.
The client also undertakes to respect the financial obligations arising from the conditions agreed within the framework of the service provision, as defined in the quote or specific contract.
6. Billing Terms and Payment Conditions
Services are invoiced in accordance with the terms agreed with the client (based on a quote or contract). Rates may vary depending on the specific assignment, working hours, travel expenses or other costs related to the execution of the assignment.
If the client disagrees with an invoice, they must explicitly contest it in writing within 14 days, by email or registered letter. The contestation must be motivated.
Invoices are payable on the due date indicated on the invoice. If the due date is not indicated on the invoice, invoices are payable within 30 days from the date of invoicing.
Any late payment will result in the application of late payment interest at the legal rate in force for commercial transactions, currently 10.5% for the second half of 2025, in accordance with the law of August 2, 2002 concerning the fight against late payment in commercial transactions. This interest is due by right and without prior notice. Late payment may also result in the suspension of services.
7. Intellectual Property
The results, studies, reports and other deliverables produced within the framework of the services provided remain the property of Conexus International until full payment of the amounts due. After full payment of the service, ownership of the deliverables will be transferred to the client, subject to Conexus International's copyright.
Use of Third-Party Tools and Resources: When deliverables are created using third-party tools, licensed software, external databases, or artificial intelligence technologies:
Intellectual property rights relating to these tools remain the property of their respective holders
The client receives a license to use the final deliverables for their internal needs
Conexus International guarantees that the use of these tools complies with applicable licenses
The client cannot claim any rights to the methodologies, processes, or proprietary tools used by Conexus International in carrying out the assignment
The client is authorized to use the deliverables for their internal needs, but any reproduction, distribution or transfer to third parties requires the prior written consent of Conexus International.
8. Confidentiality and Data Protection
Conexus International undertakes to guarantee the confidentiality of all sensitive and personal information provided by the client within the framework of the assignment.
The detailed terms of personal data processing are the subject of a separate Data Protection Policy, compliant with the General Data Protection Regulation (GDPR), available on request and accessible on our website.
The client authorizes Conexus International to share certain information with local partners or service providers, solely within the framework of executing the assignment, subject to respecting confidentiality obligations.
9. Conflict of Interest and Ethics
Conexus International endeavors to maintain high standards of ethics and to prevent any situation of conflict of interest. In case of doubt about the existence of a conflict of interest, Conexus International will immediately inform the client and take the necessary measures to guarantee an assignment carried out in complete independence.
As a service provider, Conexus International undertakes to respect the ethical principles applicable to its field of activity and to avoid any action that could compromise the impartiality or quality of the services rendered.
10. Limitation of Liability
Conexus International undertakes to carry out its services with care and diligence. However, its liability cannot be engaged for indirect, intangible damages or loss of profits resulting from the execution of the assignment.
The liability of Conexus International is limited to the amounts actually paid by the client for the services concerned.
Conexus International, within the framework of its real estate liaison activity, acts exclusively as an economic establishment advisor. Conexus International does not carry out any brokerage, intermediation, or real estate purchase or sale operations. Its role is limited to proposing, on an accessory and non-exclusive basis, contacts with independent service providers (real estate agencies, architects, local consultants) to support its clients in their establishment projects. No remuneration depends on real estate transactions carried out. The liability of Conexus International cannot be engaged with regard to transactions concluded between its clients and third-party service providers.
11. Service Continuity
In case of temporary or permanent incapacity of an expert designated for an assignment (illness, unavailability, cessation of activity), Conexus International undertakes to:
Immediately inform the client of the situation
Propose a replacement expert with equivalent skills within 10 business days
Ensure complete transfer of the file to the new expert, including all information necessary for the continuity of the assignment
Guarantee that no significant delay will be attributable to this change, except in exceptional circumstances
The client has a right of acceptance or motivated refusal of the proposed replacement expert. In case of refusal, Conexus International will propose an alternative or, if no satisfactory solution is found, the client may terminate the contract without penalty, with reimbursement pro rata of services not performed.
12. Force Majeure
Neither party may be held responsible for partial or total non-performance of its obligations to the extent that a force majeure event prevents or delays the execution of the assignment (for example: natural disasters, strikes, war, pandemics, government restrictions, etc.).
13. Duration and Termination
Services are provided for the duration specified in the contract or quote. Either party may terminate the assignment in writing, subject to respecting a reasonable notice period, generally 30 days, except in case of serious breach of contractual obligations.
In case of early termination, the client undertakes to settle the costs incurred and to compensate Conexus International for work already performed, in accordance with the initial agreement.
14. Exclusive Application of the Terms and Conditions
These terms and conditions apply to all quotes and agreements to which the firm is a party, to the exclusion of all general terms and conditions appearing on the client's documents, even if they are communicated subsequently. The general conditions apply to all experts, partners or associates of the firm as well as their civil companies and, where applicable, also to staff.
15. Applicable Law and Competent Jurisdiction
These general terms and conditions are governed by Belgian law. In case of dispute, the parties undertake to attempt an amicable resolution of the conflict. If no amicable solution is found, the dispute will be submitted to the competent courts of Brussels.
16. Miscellaneous Provisions
If any of the clauses (or a passage thereof) is null or inapplicable, the validity of the other provisions of the general conditions will not be affected. Furthermore, the parties will endeavor to interpret or supplement the invalid clause so that it produces its effects.
To the extent that these general terms and conditions have been translated into English and French, in case of ambiguity, only the French text shall prevail.
